Our Board of Directors which is an entirely volunteer-based working board. Board members contribute to the organization’s strategic direction and growth, provide sound governance and advice, and serve as ambassadors within the community.
We meet every second Monday evening and work hard in our spare time to meet the needs of the 2SLBGTQIA+ community of Thunder Bay and the Northwestern Ontario Region. See below for more info.

What does it take to be a director?
The board of directors of a nonprofit has three primary legal duties known as the “duty of care,” “duty of loyalty,” and “duty of obedience.”
- Duty of Care: Take care of the nonprofit by ensuring prudent use of all assets, including facility, people, and good will.
- Duty of Loyalty: Ensure that the nonprofit’s activities and transactions are, first and foremost, advancing its mission; Recognize and disclose conflicts of interest; Make decisions that are in the best interest of the nonprofit corporation; not in the best interest of the individual board member (or any other individual or for-profit entity).
- Duty of Obedience: Ensure that the nonprofit obeys applicable laws and regulations; follows its own bylaws; and that the nonprofit adheres to its stated corporate purposes/mission.
However, a board of directors position does not exist solely to fulfill fiduciary duties of the organization’s assets. Board members contribute to the organization’s strategic direction and growth, provide sound governance and advice, and serve as ambassadors within the community.
To be eligible to be appointed to the Board of Directors and hold voting privileges as a Director, a person must:
- Be at least eighteen (18) years of age.
- Be a member of the Organization at the time of their election and shall remain a member throughout their term of office.
- Not be an undischarged bankrupt.
- Be capable of managing property under Ontario Law.
- Adhere to the code of conduct policy.
- Adhere to all organization policies.
